The SEC’s proposal would create rule-based exemptions for certain crypto-asset offerings, including a route allowing up to $75 million over 12 months. Senate Section 103 of the CLARITY Act instead proposes a statutory exemption for qualifying ancillary-asset transactions under an investment contract, capped at the greater of $50 million or 10% of outstanding asset value annually, with a $200 million aggregate limit. The mechanisms, eligible assets, purchaser rules, resale conditions and timing differ, and neither route is currently available.
