Soluna Holdings is asking shareholders to raise its authorized common stock to 1 billion shares from 375 million as it seeks capital for a largely unbuilt 6.3-gigawatt data-center pipeline. A separate vote would permit larger stock sales under a YA II PN agreement. Approval would expand financing flexibility but could dilute existing investors. The company is also developing Project Dorothy 3 in Texas and sharing Bitcoin-mining revenue with Bitdeer at Project Kati 1.
